1. These Terms and Conditions
1.1 This page sets out the Terms of Booking on which you agree to be bound by making use of the website, www.venuebility.com (the "Website").
1.2 Please read these Terms of Booking carefully as they contain important information regarding your legal rights, remedies and obligations.
1.3 The Website and services made available through the Website (the "Services") comprise an online platform through which venue providers and suppliers ("Service Providers") may create listings for the hire and letting of event venues, suppliers to the events and you browsing the Website may learn about and book venues and suppliers for goods and/or services.
1.4 You understand and agree that Venuebility is not a party to any agreement entered into between any Service Provider and you, nor is Venuebility acting as an agent, or in partnership with any venue provider or you. Venuebility has no control over the conduct of Service Provider or any venue advertised on the Website, and disclaims all liability in this regard to the maximum extent permitted by law.
1.5 You acknowledge and agree that, by making a Booking with a Service Provider on the Website, you are indicating that you have read, and that you understand and agree to be bound by these terms, whether or not you have registered on the Website.
1.6 If you do not agree to these terms, then you have no right to access or use the Website or Services. If you accept or agree to these terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that company or other legal entity to these terms and, in such event, "you" and "your" will refer and apply to that company or other legal entity. A reference to a 'Customer' is a reference to you.
1.7 The Website and Services are intended to be used to facilitate the introduction of you to venue providers and other event suppliers (i.e. the Service Providers). Venuebility does not control the content contained in any listings created by Service Providers and does not make any warranty or representation to you using the Website as to the condition, legality or suitability of any venue advertised on the Website or supplier, or by a member of the Venuebility Team. Venuebility is not responsible for and disclaims any and all liability related to any and all listings and venues, you and suppliers. Accordingly, any listings advertised by a Service Provider, or Bookings made by you, are done so at your own risk.

We are registered in England and Wales under company number 11271520 and have our registered office at 1 Castle Close, Eardisley, Hereford, Herefordshire, HR3 6NL referred to in these terms and conditions as "We" and/or "Venuebility" and/or "Our"

5. Interpretation
The following definitions and rules of interpretation apply in these terms and conditions.
5.1 Definitions:
Booking: means as defined in clause 6.1
Event: the provision, hire or letting of services and/or supply of goods by a Service Provider to a Customer in exchange for money.
Payment: a deposit or other payment (such as payment in full) as determined and required by the Service Provider to be paid by a Customer to secure a provisional Booking.
Service Provider's Account: if applicable, the Stripe Account where the Payment of funds are held prior to being sent to a Service Provider.
Stripe: a technology company which allows individuals and businesses to receive payments over the Internet. Stripe provides the technical, fraud prevention, and banking infrastructure required to operate on-line payment systems.
Stripe Account: A Service Provider's account with Stripe for the purposes of managing card payments via the Venuebility Website to a Service Provider by a Customer.
Supplies: products which a Service Provider has operational control over and may be compensated for the use of or sale of, and for which the Service Provider has advertised the use or sale of such Supplies through Venuebility.
Venue: a location or set of locations of which a Service Provider has operational control over or may be compensated for the use of, and for which the Service Provider has advertised the use of such venue through Venuebility.
6. Booking via the Website
6.1 You may provisionally book a Venue and/or Supplies with a Service Provider via the Website (a "Booking") for which the Service Provider may pay Venuebility a commission.
6.2 In making a Booking you understand and agree that Venuebility:-
6.2.1 is not a party to any agreement entered into between a Service Provider and you as a result of a Booking and that your agreement is entirely with the Service Provider;
6.2.2 You agree Venuebility is an introducer and not acting as an agent, or in partnership with any Service Provider; and
6.2.3 You expressly agree and acknowledge that Venuebility has no control over the conduct of a Service Provider and Venuebility disclaims all liability in this regard to the maximum extent permitted by law.
6.3 Venuebility has no authority or ability to negotiate a contract with a Service Provider on your behalf and in making a Booking you agree to be bound by the Service Provider’s own terms and conditions.
6.4 If you are required to make a Payment to secure a provisional Booking, the Payment is paid direct to the Service Provider via its Stripe Account and you acknowledge and accept Venuebility has no liability to you in respect of your Payment.
6.5 We will use your personal information as set out in our Privacy Policy including checking with the relevant Service Provider to confirm if you have made a provisional Booking.
6.6 When you make a Booking you will receive an automated email confirming your provisional Booking which is subject to the Service Provider’s own terms and conditions. You can also contact the Service Provider via the Venuebility Messaging Service should you wish to do so.
7. Limitation of Liability and cancellation
7.1 Nothing in these terms of use excludes or limits our liability for death or personal injury arising from our negligence, or our fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.
7.2 To the extent permitted by law, we exclude all conditions, warranties, representations or other terms which may apply on our Website, whether express or implied.
7.3 We will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:
a) making a Booking and/or Payment; or
b) any failure to carry out a Booking;
c) or cancellation of a Booking by a Service Provider.
7.4 You expressly agree to hold Venuebility harmless for any errors or omissions or disputes you have with a Service Provider.
7.5 If you are a business user, without limitation to the foregoing, please note that in particular, we will not be liable for:
a) loss of profits, sales, business, or revenue;
b) business interruption;
c) loss of anticipated savings;
d) loss of business opportunity, goodwill or reputation; or
e) any indirect or consequential loss or damage.
7.6 The liability of the Service Provider arising in connection with a Booking shall be as set out in the Service Provider’s applicable terms and conditions.
7.7 The terms of cancellation of a Booking by you or by a Service Provider shall be as set out in the Service Provider’s applicable terms and conditions or as otherwise as specifically agreed between you and the Service Provider. It is your responsibility to check a Service Provider’s cancellation policy prior to making a Booking for an Event.
8. Applicable Law
8.1 If you are a consumer, please note that these terms of use, their subject matter and their formation, are governed by English law. You and We both agree that the courts of England and Wales will have exclusive jurisdiction except that if you are a resident of Northern Ireland you may also bring proceedings in Northern Ireland, and if you are resident of Scotland, you may also bring proceedings in Scotland.
8.2 If you are a business, these terms of use, their subject matter and their formation (and any non-contractual disputes or claims) are governed by English law. We both agree to the exclusive jurisdiction of the courts of England and Wales.
